3- Withdrawal of a partner:
The company is dissolved by the withdrawal of any member due to the disappearance of the personal consideration. A member’s freedom to withdraw is affected by whether the company is set for a determined period of time or not.
If the company was established for a determined period of time, the partner may not withdraw of his will alone. He is obliged, in accordance with the contract, to stay with the company until its termination. However, the partner may ask a judge to withdraw him from the company if he has reasonable causes.
However, if the company was established for an undetermined time, the partner has the right to withdraw of his will alone. This right is personal and is related to public order. Hence, the partner’s creditors may not use it and any agreement depriving of this right is considered null and void.
